Terms & Conditions (GTC)

These Terms & Conditions apply to all contracts between Nexora Digital and its customers for services including but not limited to web development, SEO, online reputation management, AI agentic systems, AI automation, branding, paid advertising, content strategy, UI/UX design, social media marketing, lead generation, and scalable digital business systems.

Our services are directed at business customers. These terms are provided at the time of contract conclusion and shall be deemed accepted upon entering into a contract.

Nexora Digital provides a wide range of digital services including:

• Modern Web Development (Next.js, Node.js, PostgreSQL, MongoDB)
• Search Engine Optimization (SEO)
• Online Reputation Management
• AI Agentic Systems & AI Automation
• Branding & Identity Design
• Paid Advertising Campaigns
• Content Strategy & Marketing
• UI/UX Design
• Social Media Marketing
• Lead Generation
• Scalable Digital Business Systems

The specific scope of services will be defined in the applicable contract or Statement of Work.

Fees are determined by the applicable contract or proposal. Invoices are due upon receipt and payable within the timeframe specified in your invoice.

We accept various payment methods. In the event of late payment, we reserve the right to suspend services until payment is received.

To ensure successful project delivery, clients agree to:

• Provide timely access to necessary information, assets, and decision-makers
• Ensure all provided content and data is accurate and lawful
• Respond to requests for feedback or approvals within agreed timeframes
• Comply with all applicable laws regarding their marketing and business activities

Where we provide AI-powered services including AI agentic systems and automation, these tools serve as supportive technologies to enhance business outcomes.

We do not warrant the completeness or accuracy of AI-generated outputs. Clients are responsible for reviewing AI-generated content before use in business decisions.

We do not use client data to train publicly available AI models unless explicitly authorized.

All methodologies, frameworks, code libraries, and proprietary tools developed by Nexora Digital remain our exclusive intellectual property.

Custom deliverables created specifically for your project are licensed to you for internal business use upon full payment of all fees.

We may reuse non-confidential insights and generic components in other projects.

Both parties agree to protect each other's confidential information. We will not share your proprietary business information with third parties except as necessary to perform our services or as required by law.

While we are committed to delivering high-quality services that drive results, we do not guarantee specific outcomes such as search rankings, traffic volumes, conversion rates, or revenue increases.

Digital marketing success depends on numerous factors beyond our control including market conditions, competition, and search engine algorithm changes.

Nexora Digital's liability is limited to the total fees paid by the client in the preceding three months.

To the extent permitted by law, we are not liable for indirect damages, lost profits, or consequential losses arising from the use of our services.

This limitation does not apply to claims arising from gross negligence, willful misconduct, or personal injury.

Contract terms are specified in your agreement. Either party may terminate for material breach with appropriate notice.

Upon termination, you will pay for all services rendered up to the termination date, and we will deliver completed work products.

These Terms & Conditions are governed by the laws of England and Wales. Any disputes arising from these terms shall be resolved in the courts of London, United Kingdom.

We may update these Terms & Conditions from time to time. Continued use of our services after changes constitutes acceptance of the modified terms.
